1. Introduction

Welcome to Hind Di Chadar (“Company”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern the access to and use of our website, messaging platforms, communication services, WhatsApp Official API integrations, Rich Communication Services (RCS), and all related products and services provided by Hind Di Chadar (“Services”).

By accessing, registering, or using any of our Services, you agree to be legally bound by these Terms in accordance with the laws of India. If you do not agree with these Terms, you must refrain from using our Services.

These Terms are designed to ensure transparency, compliance with Meta Platforms Inc. policies, telecom regulations, and Indian information technology laws.

2. Definitions

  • “Business” refers to Hind Di Chadar.
  • “User” / “Client” means any individual or entity using our Services.
  • “Platform” refers to WhatsApp Official API, RCS, or any messaging infrastructure integrated by us.
  • “Content” means messages, templates, media, or data sent via our Services.
  • “Meta” refers to Meta Platforms Inc. (WhatsApp).
  • “RCS” refers to Rich Communication Services supported by telecom operators.

3. Acceptance of Terms

By using our Services, you confirm that you:

  • Are legally competent under Indian Contract Act, 1872
  • Have read and understood these Terms
  • Agree to comply with all applicable laws, Meta policies, and telecom regulations

Continued use constitutes acceptance of any updated Terms.

4. Description of Services

Hind Di Chadar provides communication-based services including but not limited to:

  • WhatsApp Business API enablement
  • RCS messaging facilitation
  • Customer engagement messaging solutions
  • Transactional, service, and promotional messaging support (where legally permitted)

We act as a technology facilitator and do not control telecom delivery beyond permitted integrations.

5. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be a registered business or authorized representative
  • Possess lawful rights to contact recipients

We reserve the right to suspend access if eligibility criteria are violated.

6. Account Registration

Users may be required to create an account and submit business verification documents. You agree to:

  • Provide accurate and complete information
  • Maintain confidentiality of login credentials
  • Notify us of unauthorized access

We reserve the right to reject or terminate accounts at our discretion.

7. User Responsibilities

Users shall:

  • Obtain explicit consent from message recipients
  • Use approved message templates
  • Avoid spam, misleading, or unlawful content
  • Comply with Meta WhatsApp and RCS policies

Users are solely responsible for the legality of message content sent via our Services.

8. Payment & Billing Terms

All fees are payable as agreed in invoices or service agreements. Payments:

  • Are non-refundable unless stated otherwise
  • May include taxes as applicable under Indian law
  • Must be cleared within specified timelines

Failure to pay may result in service suspension.

9. Subscription Renewal & Termination

Subscriptions may auto-renew unless canceled in writing. Hind Di Chadar may terminate Services if:

  • Policies are violated
  • Payments are overdue
  • Legal or regulatory risks arise

Termination does not absolve outstanding payment obligations.

10. Use of WhatsApp Official API & RCS

Users acknowledge:

  • WhatsApp and RCS services are governed by third-party policies
  • Message delivery is subject to Meta and telecom operator approval
  • Hind Di Chadar is not liable for platform-level restrictions or bans

11. Message Delivery & Compliance Policy

We do not guarantee:

  • Message delivery
  • Read receipts
  • Platform availability

Delivery depends on recipient device, network, and platform rules.

12. Intellectual Property Rights

All software, branding, documentation, and content owned by Hind Di Chadar remain our intellectual property. Users receive a limited, non-transferable license to use Services.

13. Confidentiality

Both parties agree to maintain confidentiality of proprietary and business information except as required by law.

14. Disclaimer of Warranties

Services are provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose.

15. Limitation of Liability

Hind Di Chadar shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits or data
  • Platform-imposed suspensions

Total liability shall not exceed fees paid in the preceding three months.

16. Indemnification

Users agree to indemnify Hind Di Chadar against claims arising from:

  • Unlawful messaging
  • Data misuse
  • Policy violations

17. Governing Law (India)

These Terms shall be governed by the laws of India. Courts in Maharashtra shall have exclusive jurisdiction.

18. Changes to Terms

We reserve the right to modify these Terms. Continued use constitutes acceptance of changes.
